Rather than regulating conflicts of interest, accuracy, or transparency in the ordinary sense, the statute conditions proxy advice on how and why a recommendation is made, particularly when it incorporates what the statute labels “nonfinancial” considerations.
That isn’t securities regulation as traditionally understood. It’s compelled speech.

Admittedly, the proxy firms are fallible. But they at least come with accountability ... In doing research, developing standards and taking a position, ISS and Glass Lewis offer a service, but also a shield. Those who go without them had better be ready to answer for their voting decisions.
